6、re: 1、甲方按照工作當地規(guī)定安排乙方合理的休息時間，休息日如有特殊情況安排工作的，甲方需同乙方商議,并征求乙方同意。 1. Party A shall arrange Party B reasonable time for rest in accordance with the local regulations. If there is special work arrangement, party A need negotiate with party B, party B agree to work on resting days. 2、甲方每月以貨幣或轉賬形式支付乙方工資報

8、insurance，it can be handled by party B. 第五條 在協議期間，乙方的責任和義務是： Article 5 During the agreement period, Party B’s responsibilities and obligations are: 1、應向甲方提供真實的身份證/護照原件及本協議的個人信息,如有虛假，甲方可隨時解除此協議，并扣除所有工資。 1. Should provide true original ID/Passport and related personal information to Party A. If

9、untrue, Party A can terminate the agreement at any time and deduct all pay. 2、應服從公司安排的6天工作制，按時上下班，不能無故缺勤、曠工，遵守甲方規(guī)章制度，按時按質完成甲方交付的工作任務，甲方有權利對乙方完成勞務情況進行檢查、監(jiān)督、驗收。 2. Shall obey the arrangement work 6 days/week of the company, work on time, no unexcused absences, absenteeism, obey rules and regulations

10、 of Party A, complete tasks delivered by Party A on time and with good quality. Party A has the right to inspect, supervise for Party B’s working status. 3、如有工作失職、違反公司規(guī)章制度、提供勞務達不到要求等，甲方有權解除此勞務協議。 3. If there is dereliction of duty, violation of company rules and regulations, or fail to meet requir

11、ements of job, Party A shall have the right to dismiss the agreement. 4、由于自身身體原因所造成的病亡及自然生老病死等，甲方不負賠償責任. 4. Party A shall not be liable for the disease caused due to Party B’s own health reasons, death and natural illness etc. 6、 乙方負有保守甲方商業(yè)秘密的義務。 6. Party B shall have the obligation to conserve

12、 Party A’s trade secrets. 第六條 發(fā)生下列情形之一，本協議終止： Article 6 The agreement terminates if one of the following circumstances occurs: 1、本協議期滿的； 1. Expiration of this Agreement 2、乙方由于健康等個人原因不能履行本協議義務的； 2. Due to the health and personal reasons, Party B is unable to perform the obligations under this A

13、greement 3、本協議因以下情形解除的： （1）甲方因經營情況變化、調整等，有權提前一周通知乙方解除本協議。 （2）乙方提出解除協議，應至少提前30 日； （3）雙方協商一致解除協議。 3, The agreement is cancelled due to the following circumstances: (1) The operating conditions changes and adjusts, Party A have the right to notice Party B about terminating this Agreement 30days i

14、n advance. (2) Party B cancel the agreement, should be at least notice Party A one month in advance; (3) Mutual agreement to cancel the agreement. 4.未經甲方事先書面同意，乙方不得以任何形式直接或者間接地全職或者兼職受雇于他人或者自營，從事于甲方業(yè)務相同或者相近似的工作，或在甲方工作期間從事與本公司經營無關的活動。如果乙方擅自從事上述活動的，甲方有權解除本協議。 Party B can’t do any full-time or part-

15、time work which is similar to party A’s business scope, for some else company or for party B directly or indirectly without the paper approval from party A. Party A can cancel the agreement ,if party B do the mentioned activities. 5.乙方嚴重失職，營私舞弊，嚴重損害甲方利益，甲方有權解除本協議。 Party B do gross neglect of duty,

16、 malpractice, serious injury to party A, party A can cancel the agreement. 6.乙方不能勝任本工作，或者連續(xù)3個月績效考核不合格。 Party B can’t do the work well , or can’t pass the performance test within 3 months. 第七條 本協議終止后，乙方應在30日內將有關工作向甲方移交完畢，如給甲方造成損失，應予賠償。 Article 7 After termination of this Agreement, Party B should

17、 complete transferring work to Party A within 30 days. Party B shall pay for damage caused to Party A. 第八條 乙方同意在本協議有效期間，因自身原因發(fā)生的醫(yī)療費用自理，未能提供勞務期間，甲方不支付勞務報酬。 Article 8 Party B agrees that pay himself for medical expenses caused due to his own reasons during the effective period of this Agreement. 18、during this period party B fails to provide working service, Party A does not pay 第九條 因本協議引起的或與本協議有關的任何爭議，雙方協商解決。 Article 9 Two parties shall negotiate to resolve

19、 any dispute arising out of or relating to this Agreement 第十條 本協議一式兩份，甲乙雙方各執(zhí)一份，自甲方簽字并蓋章、乙方簽字后生效。 Article 10 This agreement shall have two originals and each party will have one. Since Both Parties signed, and Party A sealed, this agreement takes effect.

20、 附件- Attachment- 薪資考核說明 Performance assessment and remuneration specifications 1， 薪資說明： Remuneration specification: 工資跟銷售任務成正比原則，2014年銷售任務 萬美金，工資 人民幣，銷售任務完成之前按，按80%比例發(fā)放，任務完成之后，年底結算余下的20%。 According to the proportional principle between wages and sales task, 2014年sales task 1,0

21、00,000 USD,wages:6000 ￥, party A will provide 80% wages, before finishing the sales task, party A will provide the balanced 20% at the end of the year ,after party B finishing the sales task. 2014銷售任務 萬美金，從5月份至12月份合計8個月，每個月平均任務金額： 萬美金。 2014 Sales task : USD, from May,2014 thro

22、ugh December,2014. 8 months totally, monthly sales task : USD. 2, 甲方的日常工作要求 Daily working request from party A. ① 每月有效項目信息不少于3個 Available project info should be more than 3 every month ② 每月出差天數不少于15天。 Business trip days should be more than 15 days every month 3, 出差待遇方面： Business treatment from party A: ① 出差費用:不超過 萬越盾每天（ ￥）， Business trip fee: less than VND/day ② 商務費用由越南辦事處提供，不包含傭金。 Customer fee can be provided by Taikai Vietnam office, not include commissions
